Preambles And Acknowledgement
- The Company has developed distinctive business methods, systems, designs, and intellectual property for education and training services.
- The Franchisor acknowledges that they have read and understood this Agreement and accept its provisions as necessary to maintain the Company’s standards of quality and goodwill.
- The Company does not guarantee revenue, profits, or success of the business venture contemplated herein.
Grant Of Franchise
- The Company grants the Franchisor a non-exclusive right to operate a Educational Training Institute at [SPECIFY ADDRESS] using the Company’s system.
- Initial Term: 5 years from the date of signing.
- Renewal: If not in default, the Franchisor may renew for successive 5-year terms by giving written notice 15 days prior to expiration.
Fees, Courses & Certification
- Franchise Fee: The Franchisor shall pay a one-time non-refundable franchise fee of Zero upon execution.
- Late Payments: Late charges of Zero may apply. Interest shall accrue at 0% per month on overdue amounts.
- Registration & Certification Charges:
- For programs up to 3 months: Certification fee of ₹300 per student.
- For programs of 3–6 months: Certification fee of ₹500 per student.
- For programs of 6–12 months: Certification fee of ₹700 per student.
- For programs above 12 months: Certification fee of ₹1000 per student (or as mutually agreed).
- Certification charges must be remitted to the Company within 10 days of student enrollment/issuance of certificate.
Authorized Courses:
- The Franchisor is authorized to operate and run all courses and programs currently published or listed on the Company’s official website at the time of signing this Agreement.
- Any new course or program proposed by a franchise must be submitted to the Company for verification. Only after the Company approves and publishes the course on its official website may it be offered by the franchise.
- Once a course is published on the Company’s website, it may be offered by all franchises; no course shall be exclusive to any one franchise or training center.
- Payments shall be applied at the Company’s discretion to any outstanding dues.
Confidentiality & Intellectual Property
- All trademarks, copyrights, and proprietary systems remain the sole property of the Company.
- The Franchisor may use them only for authorized purposes.
- Misuse or unauthorized disclosure will result in termination and legal action.
- Upon termination, the Franchisor must cease using all marks, materials, and confidential information.
Franchise Area Requirements
- The Franchisor shall operate the franchise within a defined geographical area approved by the Company.
- Each franchise must maintain sufficient space, classrooms, equipment, and learning resources to deliver the courses effectively as per the Company’s standards.
- The franchise premises must comply with all local building codes, safety regulations, and accessibility standards.
- The Franchisor must ensure qualified trainers, proper student-teacher ratios, and adherence to the Company’s curriculum and teaching methods.
- Marketing, branding, and display materials must align with the Company’s approved guidelines
- The Company reserves the right to inspect the franchise premises to ensure compliance with the area and operational requirements.
Default & Termination
- Either party shall be in default if they fail to perform obligations under this Agreement and do not cure within 15 days of written notice.
- The Company may terminate this Agreement if the Franchisor is in default.
- The Franchisor may terminate if the Company defaults and does not cure within the given notice period.
- Upon termination, the Franchisor must:
- Stop using Company marks and materials.
- Return all confidential information and documents.
- Clear all outstanding payments within 30 days.
Inspection & Compliance
- The Company may conduct inspections during business hours to ensure compliance.
- The Franchisor shall comply with all applicable laws, regulations, and tax obligations.
Dispute Resolution & Governing Law
- Disputes shall first be resolved through discussions between authorized representatives.
- If unresolved, disputes shall be referred to arbitration by a sole arbitrator under the Arbitration & Conciliation Act, 1996.
- The arbitration will be conducted in Delhi, India, in Hindi, and concluded within 6 months.
- Courts in Delhi shall have exclusive jurisdiction.
Insurance
- The Franchisor shall maintain adequate workers’ compensation and property insurance covering the premises.
- Failure to maintain insurance may result in termination of this Agreement.
Miscellaneous
- This Agreement constitutes the entire understanding between the parties and supersedes prior agreements.
- Any amendment must be in writing and signed by both parties.
- Time is of the essence.
- There are no third-party beneficiaries.
